MODEACC Creators programme terms

These terms form the contract between the Creator and MODEACC. The Creator accepts them by ticking the box provided in the application form. They apply from the acceptance of their application.

1. The parties

MODEACC is the website modeacc.com and the programme creators.modeacc.com. They are published by Brahim SAIDI, trading as SAIIDI, sole trader (SIRET 924 495 914 00013), 10 rue Charles Lauth, 75018 Paris, France. Contact: contact@modeacc.com.

The Creator means the adult, woman or man, whose application has been accepted. The French original uses the masculine for ease of reading, and it applies to everyone. The Creator acts in their own name, independently.

2. Purpose

The Creator promotes the items sold on modeacc.com to their audience. To do so they use a personal promo code and a personal tracking link.

MODEACC pays them a commission on the sales attributed to them, according to the rules below.

The programme creates no relationship of subordination, no employment contract and no exclusivity. The Creator remains free to work with other brands.

3. Joining the programme

1. Application. The Creator fills in the application form and accepts these terms.
2. Review. MODEACC reviews every application. It may refuse one without having to give a reason.
3. Customer account. An application is only accepted if the Creator has a MODEACC customer account at the same email address; failing that, MODEACC opens one at the time of acceptance.
4. Acceptance. MODEACC sends the Creator a welcome email with: their promo code and tracking link; their starting tier; a link to the version of these terms they accepted.

4. Promo code, link and attribution of sales

1. Promo code. The promo code gives the buyer a discount on items. The rate depends on the Creator's tier (article 5).
2. Tracking link. A person who clicks the tracking link is attributed to the Creator for 30 days. This also applies when they complete their order in the MODEACC app.
3. The code comes before the link. If a promo code is entered at checkout, the sale goes to the Creator who holds that code, whatever link was clicked before.
4. Your own orders. The Creator's own orders earn them no commission. With their own code, they get a personal discount of 30 %.
5. One holder per code. The code and the link are personal. They may be neither transferred nor sold.

5. Commissions and tiers

1. Basis of calculation. The commission applies to the price of the items in the order, excluding delivery costs.
2. Tiers.

3. Tier calculation. The tier is recalculated on the 1st of each month, on the number of sales attributed in the previous month, returns excluded. The Creator starts at the Discovery tier.
4. Validation of a commission. A commission is first "pending". It becomes "validated" when two conditions are met: the order has been delivered; the 14-day return period has elapsed.
5. Returned or cancelled orders. An order returned or cancelled before validation earns no commission. A commission already paid is never taken back, except in case of fraud (article 8).

6. Referrals

1. Referral link. The Creator may invite other people to join the programme with their referral link (the "referee").
2. Bonus. When a referee accepted into the programme obtains their first validated commission, the referrer receives a bonus. Its amount depends on the referrer's tier at that time (table in article 5).
3. Share of the referee's commissions. The referrer also receives 2 % of their referee's validated commissions, on their sales during the first 6 months after joining the programme. This share is paid by MODEACC. It is not deducted from the referee's earnings.

7. Payment

1. Payout date. Validated amounts are paid on the 5th of each month.
2. Minimum amount. The validated balance must reach at least 300 MAD, except for the very first payout. Below that, it is carried over to the next month.
3. Payment method. The Creator chooses bank transfer or cash. The details they provide must be accurate and in their name. If an incorrect detail causes a payment to fail, MODEACC is not liable. The amount remains due and will be paid to corrected details.
4. Statement. Each payout comes with a statement (PDF) detailing the sales and commissions.
5. Tax declarations. The Creator declares their own income and pays their own taxes and contributions, under the law of their country. In Morocco, the auto-entrepreneur status is generally suitable. MODEACC may ask them for proof of status or identity before a payout.

8. Content and conduct

What the Creator undertakes to do

1. Disclose the partnership in every piece of content that presents MODEACC, clearly and visibly: "commercial collaboration", "partnership" or #partnership, or the platform's paid-partnership tool.
2. Stay honest. No false delivery times, no false scarcity, no fake reviews, no invented prices or discounts. They repeat the information displayed on modeacc.com.
3. Follow the rules of the platforms they use (Instagram, TikTok, YouTube, Snapchat…) and the applicable law.

What is forbidden

• Buying advertising on the name "MODEACC" or its variants (search engines, social networks).
• Publishing the code on promo-code or deals websites.
• Sending unsolicited messages (spam).
• Creating fake accounts.
• Placing fictitious orders, or orders to oneself through a third party.
• Using hateful, violent, sexually explicit content, or content targeting minors, in connection with MODEACC.
• Presenting oneself as an employee or official spokesperson of MODEACC.

Sanctions

In case of a breach, MODEACC may, depending on its seriousness: suspend the code; cancel the commissions tied to the sales concerned; terminate the contract (article 10).

In case of fraud, commissions obtained through the fraud may be reclaimed, even if already paid.

9. Images and intellectual property

1. What the Creator may use. The MODEACC name, its logo and the product-page photos, solely to promote items from modeacc.com, for the duration of the contract.
2. What remains the Creator's. Their own content (photos, videos, texts) belongs to them.
3. Republication by MODEACC. MODEACC only republishes the Creator's content on its own accounts or website with their agreement, given for that content, and crediting them.
4. Third-party rights. The Creator guarantees that they hold the rights to the music, images and people appearing in their content.

10. Duration and end of the contract

1. Duration. The contract lasts as long as the Creator takes part in the programme, with no minimum duration.
2. Termination by the Creator. They may stop at any time, by email to contact@modeacc.com or from their Creators space.
3. Termination by MODEACC. MODEACC may terminate the contract: at any time, by email, with 15 days' notice; without notice in case of a serious breach (article 8).
4. Amounts due at the end. The code and the link are deactivated. Commissions already validated are paid at the next payout, even below 300 MAD. Pending commissions are paid when they become validated. The only exception is termination for fraud.

11. Changes to the terms

1. Notice first. MODEACC may change these terms. It notifies the Creator by email at least 15 days before they take effect.
2. Accept or leave. If the Creator disagrees, they may leave the programme before that date, under the rules of article 10. If they keep using their code after that date, they accept the new version.
3. Sales already made. A reduction in rates never applies to sales already made.

12. Personal data

1. Data processed. MODEACC processes the Creator's data to run the programme: identity, contact details, social profiles, payment details, sales and commissions.
2. Retention period. They are kept for as long as the contract lasts, then for the duration of accounting obligations.
3. The Creator's rights. They may ask to access, correct or delete their data by writing to contact@modeacc.com. This applies under the GDPR and Moroccan law 09-08.
4. Bank details. They are never displayed in full in internal tools.
5. Customer data. The Creator has no access to customers' personal data. They only see anonymous sales.

13. Liability

1. What MODEACC does not guarantee. MODEACC guarantees no level of sales or income. The simulations shown on the site are estimates.
2. What MODEACC is not liable for. A temporary interruption of the site, of link tracking or of the app gives no right to compensation. MODEACC nevertheless endeavours to attribute to the Creator the sales it can trace.
3. The Creator's liability. They alone are responsible for their content and its consequences.

14. Governing law and disputes

1. Governing law. These terms are governed by French law.
2. Amicable settlement. In case of disagreement, the parties first seek an amicable solution, in writing to contact@modeacc.com, within 30 days.
3. Competent courts. Failing an amicable agreement, the courts of Melun (Seine-et-Marne, France) have jurisdiction.
